Terms of Use

1. Introduction and Acceptance

Welcome to ColLabNordic ("Platform"), a service provided by Nicelab AS ("Company", "we", "us", or "our"), a company registered in Norway. By accessing or using our website, mobile application, or services, you ("User", "you") agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you and Nicelab AS regarding your use of the Platform.

2. Services Description

ColLabNordic is a marketplace platform that connects content creators ("Creators") with brands and agencies ("Brands") for influencer marketing campaigns. Nicelab AS acts solely as an intermediary facilitator and is not a party to any agreement between Creators and Brands, except as explicitly stated otherwise.

3. User Accounts and Eligibility

• Eligibility: You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you have the legal capacity to enter into a binding contract.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account.
• Accuracy: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

4. User Conduct and Content

You retain ownership of the content you post, but you grant Nicelab AS a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content in connection with the Platform's services.

You agree NOT to:

• Violate any applicable laws or regulations, including Norwegian marketing laws.
• Infringe upon the intellectual property rights of others.
• Post false, misleading, or fraudulent content.
• Harass, abuse, or harm another person.
• Attempt to circumvent the Platform's payment system.

5. Payments and Fees

Service Fees: Nicelab AS charges service fees for successful collaborations. These fees are disclosed prior to transaction completion.

Taxes: Users are solely responsible for determining and fulfilling their tax obligations. Nicelab AS does not act as a tax withholding agent for Creators unless required by Norwegian law.

6. Reporting Issues & Platform Role

Platform Scope: Nicelab AS is not a party to the contracts between Brands and Creators. We provide the platform, tools, and escrow services to facilitate collaboration. We do NOT arbitrate quality disagreements, creative differences, or contract fulfillment disputes.

Report Issue Process: Users may report issues to flag potential Terms of Service violations (e.g., fraud, harassment, illegal content, account misuse). Reporting an issue does NOT pause the automatic payment release schedule.

What We Review: When an issue is reported, we review it solely to determine if a Terms of Service violation has occurred. If a violation is found, we may warn, suspend, or ban the offending account. We do not determine whether work quality meets expectations.

Quality & Fulfillment: Disagreements about quality or contract fulfillment are between the Brand and Creator. Both parties are expected to communicate and resolve issues directly. Brands should perform due diligence before selecting a Creator.

Brand Response Obligation: Brands are required to review and respond to submitted work within 14 days. Failure to respond within this period will result in automatic payment release to the Creator.

Automatic Payment Release: When a Creator submits work and requests completion, the Brand has 14 days to approve, request changes, or decline. If the Brand fails to respond within 14 days, funds are automatically released to the Creator. This policy protects Creators from unresponsive Brands and ensures timely payment for completed work.

Refund Policy: Refunds are only issued for contracts cancelled before work begins (no deliverables submitted). Once work has been submitted, the Creator has earned the payment. We do not issue refunds for quality disagreements.

Legal Rights: Nothing in these Terms waives your right to pursue legal action outside the Platform.

7. Limitation of Liability

Please read this section carefully.

To the fullest extent permitted by applicable law (including the Norwegian Sale of Goods Act and Consumer Purchase Act, where applicable):

• "As Is" Service: The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied.
• No Liability for User Interactions: Nicelab AS is not responsible for the actions, content, or data of third parties, including other Users. You release us from any claims and damages arising out of or in any way connected with any claim you have against any such third parties.
• Limitation of Damages: In no event shall Nicelab AS, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Platform; (ii) any conduct or content of any third party on the Platform; or (iii) unauthorized access, use, or alteration of your transmissions or content.
• Cap on Liability: In no event shall the aggregate liability of Nicelab AS exceed the greater of one thousand Norwegian Kroner (NOK 1000) or the amount you paid Nicelab AS, if any, in the past six months for the services giving rise to the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Nicelab AS and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any third-party right.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Norway, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the district court of Oslo, Norway (Oslo tingrett).

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on the Platform or sending you an email. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.
